Terms and Conditions Power User Program

These terms and conditions (the "T&Cs") have been prepared by Mamacrowd S.r.l., a company authorized to provide Crowdfunding Services pursuant to art. 4 - sexies.1 of the TUF and art. 12 of Regulation (EU) 2020/1503, by Consob resolution, after consultation with the Bank of Italy, no. 22876 of 08/11/2023, with registered office in Milan, Via Timavo, 34, tax code and p.iva. 07464370969 ("Mamacrowd") in order to regulate the methods of activation and use of the "Power User Program", an initiative that allows investors in possession of Power User status to access Reserved Benefits (as defined below).

1. Description of the Power User Program

The Power User Program is an initiative designed by Mamacrowd in order to reward investors in possession of the Power User status referred to in Article 2 below to access Reserved Benefits (as defined below).

By accessing and using the Power User Program, the investor agrees to abide by these T&Cs.

2. Access to the Program and Reserved Benefits

2.1 In order to acquire Power User status, the investor must have completed at least 1 (one) investment through the Mamacrowd Platform in the previous 12 months (the "Power User Investor"). For the purposes of these T&Cs, an investment shall be deemed completed where the investor has proceeded to pay - within the specified terms - for the investment order and the investment order has been consolidated, the terms for the exercise of the right of cooling-off (as referred to in Article 22 of Regulation (EU) 2020/1503) having expired.

2.2 Power User Investors, for as long as they maintain active Power User status, will be entitled to the following benefits (the "Reserved Benefits"):

• Preview Access to Published Offerings: Power User investors will be able to view and participate in offerings on the Platform that are in the restricted phase that precedes the public phase that all standard users can access instead.
• Equity Discounts: Power User Investors will be eligible for exclusive discounts on equity offered in new investment projects.

3. Duration and Renewal of the Power User Program

3.1 Membership in the Power User program is valid for 12 months from the date of the first investment that makes the investor eligible. Where the aforementioned 12 months have elapsed without the Power User investor having completed at least one other investment, enrollment in the program will automatically terminate. By making at least one new investment within the validity period, enrollment will be automatically renewed for an additional 12 months.

4. Economic conditions

4.1 Mamacrowd does not charge Power User Investors any fees for taking advantage of the Power User Program.

5. Changes to these T&Cs

5.1 Mamacrowd reserves the right to amend these T&Cs in whole or in part by notifying users by posting them on the Platform. Users are therefore required to frequently view and re-read these T&Cs periodically, so that they are always informed about the conditions applied. It is understood that the use of the Platform and/or services after the T&Cs or features of the services have been changed implies acceptance of the changes made.

5.2 Should services offered for a fee be introduced, Mamacrowd will inform users of changes related to the features/limitations of the services and/or their prices with 30 days' notice, to the email address provided upon registration and/or subsequently. In such a case, the user will be able to withdraw from the paid service in the next 30 days from the notice without any charge or additional cost. In the absence of notice of withdrawal, the changes will be deemed accepted.

6. Program Termination

6.1 Mamacrowd reserves the right to terminate the Power User Program at any time upon notice to registered investors. In the event of termination, investors will not be entitled to any compensation for unused benefits.

7. Disclaimer of Liability

7.1 We will not be liable for any loss or damage resulting from the use of the Power User program, including, but not limited to, financial loss or consequential damages.

9. Processing of Personal Data

9.1 Mamacrowd will process the personal data provided by the Investor, as the data controller, for purposes related to the execution of these T&Cs.

10. Applicable Law and Jurisdiction

10.1 These Special Conditions shall be governed in all respects by Italian law.

10.2 For the determination of the competent court to decide on any dispute concerning the interpretation, execution and/or termination of these T&Cs, please refer to the choice of court clause in the General Conditions.
