Fiduciary header service

For some specific campaigns, a service of fiduciary registration of subscribed units or shares is available to the investor. The service is provided by Be Trust Fiduciaria S.r.l., a trust administration company, licensed and supervised by the Ministry of Enterprise and Made in Italy MIMIT (the "Trust").

What benefits it offers

The advantages of fiduciary registration for both investors and the Offeror can be summarized as follows:

• Confidentiality: the details of the investment and the investor's name will not appear in the Offeror's registration statement post closing of the capital increase; only the Trust and the aggregate participation of all the Trustees will be visible;
  
• Sole interlocutor: the Offeror will have to relate exclusively to the Trust, as the representative of all the Trustees. As the corporate structure is not fragmented, there will be greater flexibility and speed in the execution of corporate, ordinary and extraordinary transactions, all in the interest of the Trust investors themselves in the event of an "exit" event;
  
• Professional management of shareholdings: the Trust will administer the underwritten shareholdings with professionalism and utmost diligence, providing at least once a year comprehensive reporting to the Fiduciary investor. As part of its activities for individuals, the Trust will also be a tax substitute, relieving the Fiduciary investor of any tax reporting obligations. The Trust will operate only at the direction of the Trusting investor, who remains the sole true owner of the shares or units subscribed;
  
• Secondary Market: the exchange of holdings between Fiduciants will be simpler and less costly and can take place, within the Fiduciary's annotations, by simple private writing between the parties(no notary intervention required);
  
• Costs of the Service: on Mamacrowd, the costs related to both the opening and the annual administration of the trust mandate with Be Trust Fiduciaria will not be borne by the Trust investors; they will be, instead, borne by the Offeror;
  
• Tax benefits: with the Fiduciary Header service, the Fiduciary investor continues to enjoy the tax benefits for investments in startups or innovative SMEs provided by the Relaunch Decree. The Fiduciary will be responsible for providing the investor with the necessary documentation to take advantage of the benefit.

Important If after 8 days from the closing of the campaign, the Investor has not completed the necessary activities with Be Trust Fiduciaria Srl to activate the Fiduciaria header service for the shares, the order will be cancelled, at the express request of the company, by Mamacrowd and refunded to the Investor without charge.
